Vehicle appraisal for the UK motor trade

Terms of service

Last updated 23 September 2026

These terms govern the i-Appraisal service, which is supplied to businesses and not to consumers. Please read them with your order form. If you have a question about them, contact us using the details in clause 22.

1. About these terms

1.1 These terms are between you and i-Appraisal, Angel Gardens, Manchester M4 4GE (“i-Appraisal”, “we”, “us”). By using the service you agree to them. If you accept them on behalf of a business, you confirm that you have authority to bind it, and “you” means that business.

1.2 The service is provided only to businesses, for use in the course of their business. It is not offered to consumers, and nothing in these terms is intended to create a consumer contract.

1.3 Accounts are issued by us to business customers rather than self-served. Access begins when we set up your organisation on the service, following a written order form or agreement.

1.4 Fees, billing terms and notice periods are those set out in the written order form or agreement signed between us. Where they conflict with these terms, that agreement takes precedence. No fee, rate or minimum term is published here, and nothing on the public site forms part of your contract.

1.5 How we handle personal data for which we are responsible is explained in our privacy notice, linked at the foot of every page of this site. The privacy notice does not form part of this contract.

2. Definitions

2.1 In these terms:

Agreement
these terms, the Schedule at the foot of this page, and your Order Form, read together.
Authorised User
a person you allow to use the service under your account: an employee, worker or contractor of yours, invited and given a role by your Master Administrator.
Customer, you
the business named in the Order Form, or the business that uses the service with our permission.
Customer Data
everything you or your Authorised Users put into the service, or that the service produces from it for you: registrations, walkaround video and frames, audio and transcripts, photographs, documents, inspection answers, findings, appraisals, notes, and details of your staff and of your Hire Customers.
Grant
access, issued by you through the service, that lets one Hire Customer view one appraisal and acknowledge or dispute it (clause 10).
Hire Customer
a person or business to whom you hire, lease, lend or return a vehicle, and to whom you choose to show an appraisal.
Master Administrator
the person you nominate to hold the owner role for your organisation on the service, and any administrator they appoint.
Order Form
the written order form or agreement signed between you and us for the service.
Output
anything the service produces for you: grades, verdicts, findings, measurements, prices, scores, reports, PDFs and summaries.
Service
the i-Appraisal software and platform described in clause 3, including the app, the embed, the partner API and any documentation we give you for them.
Sub-processor
a third party we engage to process personal data in Customer Data on your behalf, as listed in the Schedule.

2.2 Headings are for convenience only. “Including” means including without limitation. A reference to writing includes email. A reference to a law includes that law as amended or replaced.

3. The service

3.1 i-Appraisal produces appraisals of vehicles from guided walkaround video: NAMA grades, BVRLA fair wear and tear verdicts, itemised repair pricing, vehicle identity and MOT history. It is provided to business customers in the UK motor trade, including auctions, dealers, rental and leasing companies and vehicle logistics operators.

3.2 The service guides an operator round a vehicle on a phone, uploads the footage, and analyses it on our servers, using an AI analysis provider, to identify and describe visible damage. Findings are graded and priced by written rules and a repair-price matrix, and presented with the frame of video they were seen in where the analysis recorded one. The service can also record interior and mechanical checks, including by voice, and hold photographs and documents you add to an appraisal.

3.3 The service may be reached through our web app, through an embed on your own website, or through our partner API. Embed tokens and API keys are issued for your organisation, are limited in what they can reach, and API keys may carry daily limits on calls and spend.

3.4 We will provide the service with reasonable skill and care, and will use reasonable efforts to keep it available. We do not guarantee uninterrupted or error-free availability. Planned maintenance, provider outages and faults outside our control can make all or part of it unavailable.

3.5 Some features are described on the public site as in development or early access. They are not part of the service you are contracting for unless your Order Form says so.

4. Accounts, users and administrators

4.1 We create your organisation on the service and invite your Master Administrator. Your Master Administrator is responsible for inviting Authorised Users, choosing their role, permissions and branches, and removing access when someone leaves or no longer needs it.

4.2 Authorised Users sign in with a Google or Microsoft account. We hold no passwords. An invitation is sent to a named email address and can be accepted only by a person who signs in with a verified account for that address. Invitations expire after 14 days.

4.3 You are responsible for everything done under your organisation’s accounts, embed tokens and API keys, and for your Authorised Users’ compliance with these terms as if their acts were yours.

4.4 You may not share your credentials. Each Authorised User must have their own account. You must keep API keys and embed tokens secret, store them securely, and revoke or ask us to revoke any that may have been exposed. We strongly recommend that Authorised Users turn on two-factor authentication, which each person can add to their own account.

4.5 You must tell us promptly at the contact details in clause 22 if you become aware of any unauthorised access to or use of the service through your organisation.

5. Access by i-Appraisal staff

5.1 Our platform administrators can open your organisation on the service and act in it with the permissions of its owner, without being a member of it. We do this to set your organisation up, to give support you have asked for, to investigate a fault, a security incident or a suspected breach of these terms, and where the law requires it. We do not do it for any other purpose.

5.2 Every change made to your organisation while a platform administrator has it open is recorded: which account acted, when, and what kind of change was made. The content of the change is not recorded in that log. The record is kept for 24 months and we will give you the entries for your organisation on request.

5.3 Our staff and contractors who can access Customer Data are bound by obligations of confidentiality.

6. Acceptable use

6.1 Do not resell, redistribute or bulk-extract data from the service, use it to build a competing dataset, or attempt to look up vehicles for any purpose other than appraising them in the course of your business. Automated access is permitted only through the partner embed tokens and API keys we issue.

6.2 You must not, and must not let anyone else:

  • use the service unlawfully, or to upload anything you do not have the right to upload;
  • film people deliberately, or beyond what is incidental to filming a vehicle, or record a conversation you are not entitled to record;
  • upload anything unlawful, defamatory or infringing, or any malware;
  • copy, modify, decompile, disassemble or reverse engineer the service, except to the extent the law expressly permits it despite this restriction;
  • scrape, crawl or harvest the service or its outputs by automated means other than the partner API;
  • interfere with or overload the service, probe or bypass its security, access controls or rate limits, or try to reach another customer's data;
  • exceed, or try to avoid, the limits attached to your API keys or embed tokens, including daily call and spend ceilings; or
  • use the service to build or benchmark a competing product.

6.3 The footage your operators film is theirs to direct. Film the vehicle, avoid filming people’s faces, other vehicles’ plates and private premises beyond what cannot be helped, and do not narrate personal information about anyone. The audio of a walkaround is transcribed and analysed along with the video.

6.4 We may remove content, revoke a key or token, or suspend access under clause 16 where we reasonably believe this clause has been broken.

7. Customer Data

7.1 You keep ownership of Customer Data, including video and images you upload. We claim no ownership of it.

7.2 You grant us the licence needed to store and process Customer Data to provide the service to you, including sending frames and audio to the third-party AI analysis provider described in the privacy notice and listed in the Schedule below; to support and secure the service; and to comply with the law. The licence ends when Customer Data is deleted under clause 17. We do not use Customer Data for any other purpose.

7.3 You confirm you have the right to upload what you upload, and that our processing of it in accordance with the Agreement will not infringe anyone’s rights or break any law.

7.4 You are responsible for the accuracy of Customer Data you enter, and for keeping your own copies of any reports you need to keep beyond the retention periods stated in the privacy notice. Damage assessments, the frames and video behind them, vehicle lookups and reports are deleted six months after they are created.

8. Data protection

8.1 For personal data in Customer Data, you are the controller and we are your processor. For personal data we use to run our own business — account and sign-in data, billing and usage records, security logs, and business contacts — we are the controller, and our privacy notice applies.

8.2 You are responsible for having a lawful basis for the personal data you put into the service, and for telling the people it concerns — your staff, your Hire Customers, and anyone incidentally filmed — what you do with it, including that footage is analysed by an AI analysis provider in the United States.

8.3 When we process personal data on your behalf, we will:

  • process it only on your documented instructions, which are the Agreement and your use of the service's settings and features, including as to transfers outside the UK, unless the law requires otherwise (in which case we will tell you first, unless the law forbids that);
  • ensure that the people we authorise to process it are bound by confidentiality;
  • take the technical and organisational security measures described in section 9 of our privacy notice, and keep them appropriate to the risk;
  • engage Sub-processors only as set out in clause 8.5;
  • help you, taking into account the nature of the processing, to respond to requests from people exercising their data-protection rights;
  • help you with security, personal data breach notification, data protection impact assessments and prior consultation with the Information Commissioner, taking into account the information available to us;
  • tell you without undue delay after becoming aware of a personal data breach affecting Customer Data;
  • at the end of the service, delete Customer Data under clause 17, unless the law requires us to keep it; and
  • make available the information reasonably needed to show that we meet these obligations, and allow for and contribute to audits, on reasonable notice and at reasonable intervals.

8.4 The subject matter, duration, nature and purpose of the processing, the types of personal data and the categories of data subject are those described in clause 3 and in our privacy notice. A full data-processing agreement is available to customers on request, and where one is signed it takes precedence over this clause.

8.5 You give general authorisation for us to use the Sub-processors listed in the Schedule. We will give you at least 30 days’ notice, by email to your Master Administrator, before adding or replacing a Sub-processor. If you object on reasonable data-protection grounds and we cannot resolve the objection, you may end the Agreement for the affected service on written notice before the change takes effect. We impose data-protection terms on each Sub-processor that are no less protective than this clause, and we remain responsible to you for their performance.

8.6 Our AI analysis provider processes in the United States. That transfer is made under the UK International Data Transfer Addendum to the European Commission’s standard contractual clauses. Our hosting is in Germany, in the EU, which the UK treats as adequate.

9. AI outputs and third-party data

9.1 Valuations, damage assessments, grades and scores are estimates produced from third-party data and automated analysis. They are not an inspection, not a warranty of condition, and not advice to buy at any price. Automated video analysis can miss damage that is not visible in the footage supplied, and cannot assess anything mechanical, structural or internal that a physical inspection would find.

9.2 Grades, verdicts and prices are an aid to, not a substitute for, a physical inspection by a competent person. They may be incomplete. The quality of an Output depends on the footage: poor light, motion, dirt, water, reflections and panels not filmed all limit what can be seen. Where the service cannot settle a finding it marks it as needing inspection, and where it has no rate for a repair it shows the item as unpriced, not as zero.

9.3 NAMA grades and BVRLA fair wear and tear verdicts are our implementation of the published standards. Neither NAMA nor the BVRLA is affiliated with us, and neither has verified or endorsed the service or its Outputs.

9.4 Vehicle data in an appraisal comes from third parties, including MOT history from the DVSA. We pass that data through and cannot guarantee it is complete, current or correct. Where a provider is unavailable the service says so rather than substituting a guess.

9.5 You remain responsible for your own due diligence on every vehicle you buy. We are not liable for trading losses arising from reliance on output from the service. Any decision to buy, sell, price, grade, recharge or dispute is yours, and should be made by a person on your team who has reviewed the findings beside their frames.

10. Hire customers

10.1 You may issue a Grant to a Hire Customer, either by sending it to their email address from the service or, through the partner API, by naming them by your own reference for them. A Grant covers one appraisal only. It lets the Hire Customer view the condition recorded in that appraisal and acknowledge it or dispute it with a note. It never shows them your prices.

10.2 The link in a Grant expires (after seven days unless you choose another period, up to 30 days). The answer a Hire Customer gives, how they gave it, and a copy of what they were shown are kept with the appraisal as a record.

10.3 A dispute is recorded; it does not block anything, and we do not decide it. You are responsible for your relationship with your Hire Customers, including your hire or lease terms, any recharge, and how a dispute is resolved. We are not a party to any agreement between you and a Hire Customer.

10.4 You must tell your Hire Customers, before you send a Grant, how you use the service and their personal data in it.

11. Fees and payment

11.1 You will pay the fees set out in your Order Form, in the currency and at the intervals it states. No fee, rate or minimum term is published on this site.

11.2 Unless your Order Form says otherwise, invoices are payable within 30 days of the invoice date, without set-off or deduction.

11.3 Fees are exclusive of VAT and any other applicable taxes, which you will pay in addition at the rate in force.

11.4 If you do not pay an undisputed amount on time, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, unless your Order Form sets a different rate.

11.5 If an undisputed amount is still unpaid 14 days after we give you written notice that it is overdue, we may suspend the service under clause 16 until it is paid.

11.6 If you dispute an invoice in good faith, tell us in writing before it falls due, with your reasons, and pay any part not in dispute. We will both try to resolve the dispute promptly.

12. Intellectual property

12.1 We and our licensors own all intellectual property rights in the service, including the software, the capture guidance, the grading and verdict rules, the repair-price matrix, the report designs and the documentation. Except as expressly set out in the Agreement, no rights in the service are transferred to you.

12.2 During the Agreement we grant you a non-exclusive, non-transferable right, without the right to sub-license, for your Authorised Users to use the service for your internal business purposes, in accordance with the Agreement.

12.3 Outputs produced for you are yours to use in your business, including sharing a report with your customers, Hire Customers, buyers and advisers. Our trade marks and the rules and methods behind an Output remain ours.

12.4 If you give us suggestions or feedback about the service, we may use them freely and without obligation to you. We will not identify you as their source without your permission.

13. Confidentiality

13.1 Each of us will keep confidential the other’s confidential information — anything disclosed under the Agreement that is marked confidential or would reasonably be understood to be — and use it only to perform or receive the service. Customer Data is your confidential information. The service, its pricing and the terms of your Order Form are ours.

13.2 Either of us may disclose confidential information to its employees, contractors, sub-processors and professional advisers who need to know it and are bound by equivalent obligations, and where required by law, a court or a regulator (giving the other notice where lawful).

13.3 This clause does not apply to information that is or becomes public other than through a breach of it, that the recipient already held or independently developed, or that it lawfully received from someone else without restriction. It survives the end of the Agreement.

14. Warranties and disclaimers

14.1 We warrant that we will provide the service with reasonable skill and care and substantially as described in clause 3. If it does not, your remedy is for us to use reasonable efforts to correct the failure, and, if we cannot do so within a reasonable time, for you to end the affected service and receive a refund of fees prepaid for the period after termination.

14.2 You warrant that you have the authority to enter into the Agreement, and the rights and lawful basis to upload and have us process Customer Data.

14.3 Except as expressly set out in the Agreement, all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent the law permits. In particular we do not warrant that Outputs will be complete or free of error, or that the service will meet any requirement you have not agreed with us in writing.

15. Liability

15.1 Nothing here limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

15.2 Subject to that, our total liability arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited in aggregate to the total fees you paid us in the twelve months immediately before the event giving rise to the claim.

15.3 Subject to clause 15.1, we are not liable for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, for trading losses on any vehicle, or for any indirect or consequential loss, however arising.

15.4 Clause 15.2 does not limit your obligation to pay the fees due under the Agreement.

16. Suspension

16.1 We may suspend the whole or part of the service, or any account, key or token, if: an undisputed amount is overdue as described in clause 11.5; we reasonably believe clause 6 has been broken; suspension is needed to protect the service, other customers or Customer Data from a security threat; or the law or a regulator requires it.

16.2 We will give notice before suspending where it is reasonable to do so, and otherwise as soon as we can afterwards, and we will restore access promptly once the reason has been dealt with. Suspension for your breach does not suspend your obligation to pay.

17. Term and termination

17.1 The Agreement starts on the date in your Order Form and runs for the term, and on any renewal terms, that it sets out.

17.2 Where your Order Form sets no term, either of us may end the Agreement on at least 30 days’ written notice. You may stop using the service at any time; unless your Order Form says otherwise, that does not end your obligation to pay for the rest of the term.

17.3 Either of us may end the Agreement immediately by written notice if the other commits a material breach and, where it can be remedied, does not remedy it within 30 days of being asked to in writing; or if the other becomes insolvent, enters administration or liquidation, makes an arrangement with its creditors, or ceases to trade.

17.4 We may suspend an account for breach of these terms. You may close your account at any time; the privacy notice explains what happens to your data afterwards.

17.5 When the Agreement ends: your access and your Authorised Users’ access end; all embed tokens and API keys stop working; and any unpaid fees for the period up to the end become due.

17.6 If you ask in writing within 30 days after the end, we will provide a copy of the Customer Data then held for you, in a commonly used format of our choosing. After that we will delete Customer Data, except where the law requires us to keep it. Records the service deletes sooner under the retention periods in the privacy notice, such as damage assessments and their frames after six months, will not be available.

17.7 Clauses that by their nature should survive the end of the Agreement do so, including clauses 7.3, 9, 11 (for amounts due), 12, 13, 15, 17.5 to 17.7, 20 and 21.

18. Changes to the service and to these terms

18.1 The service changes as we improve it. We may add, change or remove features, provided that we do not materially reduce the core functionality you have contracted for during your current term.

18.2 If we change the service in a way that materially and adversely affects you, we will tell your Master Administrator in advance where we reasonably can.

18.3 We may update these terms. We will give at least 30 days’ notice of a material change by email to your Master Administrator or in the service. If you object, you may end the Agreement by written notice before the change takes effect. A change required by law or for security may take effect sooner. Your Order Form can be changed only in writing signed by both of us.

18.4 The date at the top of this page shows when these terms were last updated.

19. Events beyond our control

19.1 Neither of us is liable for delay or failure to perform caused by events beyond its reasonable control, such as a failure of a public network or of a third-party provider on which the service depends, power failure, fire, flood, pandemic, war, terrorism, industrial action (other than by its own staff), or an act of government. This does not excuse a failure to pay.

19.2 The affected party must tell the other promptly and take reasonable steps to limit the effect. If such an event prevents the service being provided for more than 60 days in a row, either of us may end the Agreement on written notice.

20. General

20.1 Assignment. You may not assign or transfer the Agreement without our written consent. We may assign or transfer it to a buyer of all or part of our business on notice to you, provided your rights under it are not reduced.

20.2 Subcontracting. We may use subcontractors and Sub-processors to provide the service. We remain responsible for their performance of our obligations.

20.3 Entire agreement. The Agreement is the whole agreement between us about its subject matter and replaces anything said or written before it. Neither of us has relied on any statement not set out in it, but nothing in this clause limits liability for fraud.

20.4 Severance. If any part of the Agreement is found unenforceable, the rest continues in force, and that part applies with the minimum change needed to make it enforceable.

20.5 Waiver. A delay or failure to exercise a right is not a waiver of it. A waiver is effective only in writing.

20.6 Relationship. Nothing in the Agreement creates a partnership, joint venture or agency between us.

20.7 Third-party rights. No one other than you and us has any right to enforce any term of the Agreement, and the Contracts (Rights of Third Parties) Act 1999 does not apply.

20.8 Notices. Notices to us must be sent by email to hello@iappraisal.co.uk or by post to i-Appraisal, Angel Gardens, Manchester M4 4GE. Notices to you may be sent to your Master Administrator’s email address or to the address in your Order Form. An email notice is received when sent, unless the sender receives a delivery failure.

21. Governing law and jurisdiction

21.1 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them.

21.2 That includes non-contractual disputes and claims. Before starting proceedings, each of us will first try in good faith to resolve a dispute by discussion between senior representatives, except where urgent relief is needed.
